General Partnership – A general partnership is simply when two or more individuals come together to form a business. Although all partners are responsible for profits and losses in a general partnership, our attorneys always recommend meeting with experienced counsel to assist in drafting key documents such as partnership agreements at the outset of the business. Limited Partnership – A limited partnership provides more protection for some of the partners. In limited partnerships there must be at least one general partner and one limited partner. The general partner has more responsibilities of running the day-to-day operations of the business. Limited partners typically only provide financial capital to the business. In the event of liability, general partners are personally responsible for any obligations of the partnership. However, the limited partners are only liable for the extent of funds they have in the partnership.

Formulation of a limited partnership in California requires the parties to comply with certain laws. Failure to do so may result in a legal determination that a general partnership existed, exposing all partners to liability.
